Terms of Service

1. Agreement to Terms

By accessing or using Cordiul ("the Service"), operated by Cordiul, Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Cordiul, Inc. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Cordiul is a cloud-based power dialing and call management platform that enables sales teams to make parallel calls, manage contacts, record calls, and analyze call performance. The Service includes:

  • Parallel dialing capabilities
  • Contact and list management
  • Call recording and transcription
  • Call analytics and reporting
  • DNC (Do Not Call) list management
  • AI-powered call summaries and lead scoring
  • CRM integrations

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By creating an account, you represent and warrant that:

  • You are at least 18 years of age
  • You have the authority to bind yourself or your organization to these Terms
  • All information you provide is accurate and current
  • You will maintain the security of your account credentials

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered on a subscription basis with different pricing tiers. Current pricing is available on our pricing page. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed securely through Stripe
  • All fees are non-refundable except as required by law or as stated in our refund policy
  • You authorize us to charge your payment method for all fees due
  • Failed payments may result in suspension or termination of your account

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period for which you have paid.

Refunds are provided only in accordance with UK Consumer Rights Act 2015. If you cancel within 14 days of initial subscription and have not substantially used the Service, you may be entitled to a full refund.

4.4 Price Changes

We may change our pricing at any time. We will provide at least 30 days' notice of any price increases. Price changes will apply to your next billing cycle.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or telecommunications rules (including PECR, TCPA, GDPR)
  • Make unsolicited calls to numbers on Do Not Call registries without proper consent
  • Use the Service for harassment, fraud, or any illegal activity
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems to access the Service without authorization
  • Upload malicious code, viruses, or harmful content
  • Violate the intellectual property rights of others
  • Use the Service to send spam or unsolicited communications

6. Compliance with Telecommunications Regulations

You are solely responsible for ensuring your use of the Service complies with all applicable telecommunications laws and regulations, including:

  • UK PECR: Privacy and Electronic Communications Regulations
  • UK GDPR: General Data Protection Regulation
  • TCPA: Telephone Consumer Protection Act (if calling US numbers)
  • TPS: Telephone Preference Service requirements
  • DNC Lists: Do Not Call list requirements

You must obtain proper consent before making calls and maintain accurate records. We provide tools to help with compliance, but you are responsible for your calling practices. We reserve the right to suspend or terminate accounts that violate telecommunications regulations.

7. Intellectual Property

7.1 Our Rights

The Service, including all content, features, functionality, and technology, is owned by Cordiul, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Your Content

You retain ownership of any data, contacts, recordings, or content you upload to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to use, store, and process Your Content solely to provide the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are responsible for ensuring that any personal data you upload or process through the Service is collected and used in compliance with applicable data protection laws, including UK GDPR.

9. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Maintenance and updates
  • Technical issues or failures
  • Third-party service disruptions
  • Force majeure events

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any loss or damage resulting from such modifications or interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, Cordiul, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Damages resulting from your use or inability to use the Service

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

11. Indemnification

You agree to indemnify, defend, and hold harmless Cordiul, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your infringement of any third-party rights
  • Your Content or data you upload to the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us.

12.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You breach these Terms
  • You fail to pay fees when due
  • You violate applicable laws or regulations
  • You engage in fraudulent or harmful activity
  • We are required to do so by law

12.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your account and data in accordance with our Privacy Policy. You remain responsible for all fees incurred before termination.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.3 Alternative Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as mutually agreed.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cordiul, Inc. regarding the Service.

14.2 Modifications

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

14.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor or affiliate.
